The Board of Directors at Hanwha SolarOne is committed to maintaining the highest standards of corporate governance. The Board of Hanwha SolarOne has developed corporate governance practices to fulfill its responsibility to Hanwha SolarOne stockholders. As part of these practices, the Board has adopted the following Corporate Governance Charters to help ensure that it has the necessary authority and procedures in place to oversee the work of management and to exercise independence in evaluating Hanwha SolarOne's business operations. These charters allow the Board to align the interests of directors and management with those of Hanwha SolarOne Corporation's stockholders, whilst they are subject to future refinement or changes as the Board may find necessary or advisable for Hanwha SolarOne in order to achieve the above objectives.

Hanwha SolarOne applies good corporate governance principles to multiple areas of the Company. In addition to these guidelines, Hanwha SolarOne has had a Code of Ethics and Business Conduct, the Board has also adopted charters for each of the following standing Board Committees: Audit Committee, Compensation Committee, and Nomination and Governance Committee.
